Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MedBid Platform operated by BRAINTMS LLC ("MedBid," "we," "us"). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

MedBid provides a marketplace that connects patients and consumers seeking healthcare or wellness services with verified providers. MedBid is not a healthcare provider, insurer, or medical advisor. We do not provide medical advice, diagnose conditions, or recommend specific treatments. All healthcare decisions remain between you and your chosen provider.

Patients may use the Platform without creating an account to browse, but must provide contact information to post a request. Providers must create a verified account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• You certify that all information submitted in your request is accurate and not misleading.
• Accepting a bid constitutes an agreement to pay the bid amount to the provider.
• MedBid is not responsible for the quality, safety, or outcome of any healthcare or wellness service delivered by a provider.
• You acknowledge that price quotes are for the specific services described in your request; additional services may incur additional charges.

• You certify that all submitted credentials, licenses, and insurance information are current and accurate.
• You agree to honor accepted bids at the price submitted, subject to the scope of services described in the patient request.
• You may not use patient contact information obtained through MedBid for purposes other than fulfilling the accepted bid.
• MedBid reserves the right to suspend or terminate provider accounts for non-compliance, fraud, or patient complaints.

Posting a request is free for patients. MedBid charges providers a success fee of 5–8% on each accepted bid, deducted from the collected payment. Providers on paid plans are subject to the applicable subscription agreement. MedBid's fee schedule may change with 30 days' notice.

• Using the Platform to submit false or misleading requests or bids.
• Harassing, threatening, or defrauding other users.
• Attempting to circumvent the Platform to avoid MedBid fees.
• Automated scraping or unauthorized data collection.
• Using the Platform to market services unrelated to a posted bid.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDBID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM, INCLUDING ANY HEALTHCARE SERVICES ARRANGED THROUGH THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID TO MEDBID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

These Terms are governed by the laws of the State of California. Any dispute arising from or relating to these Terms shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. Class action waiver: you may not participate in a class action against MedBid.
